Abstract

 

Management as an element of limited liability company is the main pillar to guarantee for continuing company business. The relationship between management and limited liability company are based on trust that is called the principle of Fiduciary Relationship. This principle is followed by limited liability company Act No.1 Year 1995 and Act No.40 Year 2007. Fiduciary Relationship could be divided into fiduciary duties, duties of skill and statutory duties. That’s why the management’s responsibilities are based on good faith and full responsibility to take care of company goals and representing company in litigation and non litigation processes. The managements responsibility will change from limited to unlimited responsibility, if they against those principles.
